1) Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of websites and online pages operated by Dadaba Group and its subsidiaries (collectively, “Dadaba”, “we”, “our”, “us”). By accessing or using our sites, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the sites.

Some products or services offered by our subsidiaries (e.g., Dadaba Estate, Dadaba Carbon Hub, Dadaba Mining, Dadaba Prestige, Dadaba Foundation) may have additional terms. Where there is a conflict, the product-specific terms prevail for that product.

2) Eligibility & Accounts

You must be at least 16 years old (or the age of digital consent in your country) to use our sites. If you create an account, you are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

3) Permitted Use

You may use the sites for lawful, informational purposes and to engage with Dadaba, including careers, investor relations, sustainability reports, and news. We reserve the right to modify, suspend or discontinue any part of the sites without notice.

4) Prohibited Conduct

Violating any applicable law, regulation or rights of others.
Reverse engineering, scraping, automated harvesting or rate-limiting circumvention.
Introducing malware or interfering with site security or availability.
Impersonation, misrepresentation, or uploading unlawful, infringing, or harmful content.
Using the sites for unsolicited marketing, spam or scams.

5) Intellectual Property

The sites and their content (text, graphics, logos, images, video, code and arrangements) are owned by or licensed to Dadaba and are protected by IP laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the sites for personal or internal business purposes. No other rights are granted. Trademarks, service marks and logos of Dadaba and our partners may not be used without prior written permission.

6) User Content & Feedback

If you submit or upload content (e.g., enquiries, CVs, comments), you represent that you have the necessary rights and that the content is accurate and lawful. You grant Dadaba a non-exclusive, worldwide, royalty-free license to use, reproduce, display and distribute such content for the purpose of operating and improving the sites and responding to your requests. You agree that we may use feedback or suggestions without restriction.

We may remove content that we believe violates these Terms or applicable law.

7) Third-Party Links & Tools

The sites may link to third-party websites or tools. We are not responsible for third-party content, products or services and provide links for convenience only. Your use of third-party resources is at your own risk and subject to their terms and policies.

8) Disclaimers

The sites are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Dadaba disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the sites will be uninterrupted, secure, error-free, or free of viruses.

Information on the sites may include forward-looking statements or general information and does not constitute investment, legal or professional advice. Decisions based on information presented are your responsibility.

9) Limitation of Liability

To the maximum extent permitted by law, Dadaba and our directors, officers, employees and affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenues, data, goodwill or business interruption, arising out of or related to your use of the sites, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by law.

10) Indemnity

You agree to indemnify and hold harmless Dadaba and our affiliates from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising from your use of the sites, your content, or your violation of these Terms or applicable law.

11) Governing Law

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-laws principles.

12) Dispute Resolution

We encourage you to contact us first to resolve concerns. If a dispute cannot be resolved informally, it will be submitted to the competent courts in Accra, Ghana. You agree to the personal jurisdiction and venue of those courts. Where applicable law requires, you may have the right to bring claims in your local courts.

13) Changes to the Terms

We may update these Terms from time to time. The “Last updated” date reflects the latest change. Continued use of the sites after changes become effective constitutes acceptance of the updated Terms.

14) Suspension & Termination

We may suspend or terminate your access to the sites at any time, with or without notice, if we believe you have violated these Terms or to protect the sites, users or third parties.

15) Miscellaneous

Entire agreement: These Terms and any referenced policies (e.g., Privacy Policy, Cookie Policy) are the entire agreement regarding site use.
Severability: If any provision is unenforceable, the remainder remains in effect.
No waiver: Failure to enforce a provision is not a waiver.
Assignment: You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a reorganization.
Electronic communications: You consent to receive communications electronically.
